Terms and Conditions

1. Nature of the service

TheUIXstudio offers websites under a monthly subscription model, similar to a continuous service plan. The client pays a monthly fee to access a professional website that is active, maintained, and managed by TheUIXstudio.

The monthly payment does not represent the permanent purchase of the website, design, code, structure, database, hosting, domain, emails, licenses, plugins, or any other technical resources, unless there is an agreed and paid early purchase.

2. Briefing and prior demo

Before activating the plan, TheUIXstudio may collect information from the client through a meeting, form, briefing, PDF, internal portal, or any other agreed means.

With this information, TheUIXstudio may prepare a visual or functional demo at no cost and with no binding commitment for the client.

The demo may be presented on a temporary link, subdomain, or testing environment. This demo does not constitute the final delivery of the project, cannot be used as the client's official page, and does not transfer ownership rights.

TheUIXstudio may modify, suspend, or delete the demo at any time.

3. Approval and activation of the plan

Once the client approves the demo, they must formally activate their monthly plan for TheUIXstudio to start the final phase of the project.

The service is considered activated only when the client:

creates or completes their account;

registers a valid payment method;

accepts these Terms and Conditions;

accepts the Billing Policy;

activates the recurring monthly subscription;

makes the corresponding first payment.

TheUIXstudio will not be obligated to connect a live domain, corporate email, permanent hosting, productive database, payment gateway, or final integrations before the activation and initial payment of the plan.

4. Delivery of materials and working timeframe

The client must deliver the materials necessary to develop the website, including texts, images, logo, contact details, business information, credentials, social networks, and any other required resource.

Once the plan is activated and the minimum required materials are received, TheUIXstudio will work on the final version of the page within an estimated timeframe of up to 7 business days.

If the client delays in delivering information, delivers incomplete materials, or requests additional changes, the timeframe may be extended without this representing a breach on the part of TheUIXstudio.

5. Minimum commitment term

All recurring web plans carry a mandatory minimum commitment term of 6 months, counted from the subscription activation date.

This minimum period exists because TheUIXstudio assumes upfront design, development, configuration, hosting, domain, tools, support, maintenance, and infrastructure costs.

6. Cancellation after 6 months

After completing the 6-month minimum term, the client may cancel their subscription whenever they wish, provided they have no outstanding balances.

From cancellation, TheUIXstudio will no longer be obligated to provide hosting, maintenance, support, updates, security, emails, backups, administration, or integration services.

7. Conservation and deletion of the page

After the cancellation, suspension, or inactivity of the plan, TheUIXstudio may preserve the website and its associated resources for a maximum period of 6 months.

During that time, the page may remain suspended, unpublished, or in a recovery state. TheUIXstudio will not be obligated to keep it active or visible to the public if the subscription is not paid.

After 6 months without reactivation, TheUIXstudio may permanently delete the website, files, database, emails, configurations, and backups, with no subsequent recovery obligation.

8. Service reactivation

The client may request reactivation within 6 months following cancellation or suspension, provided the technical resources are still available.

To reactivate the service, the client must:

pay outstanding balances, if any;

register a valid payment method;

activate a monthly subscription again;

accept the conditions in force at the time of reactivation.

Reactivation will initiate a new minimum commitment of 6 months, unless otherwise agreed in writing.

9. Website rights and early purchase

While the client maintains the service under the monthly subscription model, the rights to design, structure, configuration, code, files, database, and other technical resources will remain under the ownership or administration of TheUIXstudio.

The client may request the early purchase of the website at any time.

The early purchase value will be calculated using the following formula:

3 × 12 × monthly value of the contracted plan

That is, the early purchase value is equivalent to 36 monthly fees of the contracted plan, plus applicable taxes.

Example: if the client has a plan of USD 30 per month, the early purchase value will be:

3 × 12 × 30 = USD 1,080 + current VAT

Once the total early purchase value is paid, TheUIXstudio may deliver or transfer the agreed rights to the website to the client.

Early purchase does not automatically include hosting, maintenance, support, updates, security, corporate emails, premium licenses, plugins, or future technical services.

10. Hosting after early purchase

If the client purchases the website early, they may choose between:

keeping the website hosted with TheUIXstudio, paying only the corresponding value for hosting, maintenance, or additional services; or

moving the website to another provider, assuming migration, hosting, domain, emails, licenses, maintenance, security, and subsequent operation on their own.

If the client transfers the website to another provider, TheUIXstudio will not be responsible for errors, crashes, loss of information, security failures, incompatibilities, or issues caused after the migration.

11. Additional services

Any service not expressly included in the contracted plan may be quoted separately.

This includes, among others: complete redesigns, new pages, special features, automations, advanced SEO, advertising campaigns, complex migrations, premium plugins, external licenses, bulk product uploads, or custom integrations.

12. Permitted use

The client agrees not to use the website or TheUIXstudio's services for illegal, fraudulent, deceptive, offensive activities, contrary to third-party rights, or that may affect the security, reputation, or operation of the platform.

TheUIXstudio may suspend or cancel the service if it detects improper use.

13. Acceptance

By activating a subscription, registering a payment method, approving a demo, making the first payment, or using TheUIXstudio's services, the client declares that they have read, understood, and accepted these Terms and Conditions.
